Memorandum and Articles of Association

Both the memorandum and articles of association are required for the formation of a company in the UK. The memorandum is a one-page document that records the fact that the shareholders are setting up the company, and it must be submitted to the Companies House along with the articles and the application to register the company. The articles of the company are outlined in a much bigger document that is essentially the rule-book of the company. It outlines the rights, duties and responsibilities of the director and the shareholders, as well as how decisions will be made in the company.
